1. Rzeczywistość
W ostatnich dwóch latach szczególnym zainteresowaniem cieszą się w działalności ubezpieczeniowej ugody. Takie remedium na „załatwienie” roszczeń poszkodowanych na osobie czynem niedozwolonym stosują ubezpieczyciele, a co gorsze także, niektóre „kancelarie odszkodowawcze”. Do nagminnych należy zaliczyć praktyki namawiania do zawarcia ugody przez pracowników ubezpieczycieli „za plecami” pełnomocników osób poszkodowanych. Czy Ci namawiający do ugody wiedzą, jakie kłopoty serwują poszkodowanym?
2. Stan prawny
Omawianie prawa prywatnego i publicznego jednocześnie w przypadku ugody nie jest proste. Wystarczy wspomnieć fundamentalne zasady, że w prawie prywatnym „dozwolone jest wszystko, co nie jest prawem prywatnym zabronione”, zaś w prawie publicznym „dozwolone jest wyłącznie to, co w prawie publicznym owymi normami zostało określone”. Równie ważna jest zasada wąskiej interpretacji prawa podatkowego. Interpretacja historyczna, systemowa i celowościowa jest w zasadzie zastrzeżona dla norm prawa prywatnego.
Zatem przypomnijmy:
– umowa ugody jest instytucją prawa prywatnego, na podstawie której strony czyniąc sobie wzajemne ustępstwa tworzą pewien stan prawny, uprawniający i zobowiązujący strony do czynienia tego na co się w umowie ugody umówiły (art. 917 K.C.). Istotą tej umowy są: wzajemne ustępstwa, uchylenie niepewności albo sporu powstałego lub mogącego powstać;
– w świetle art. 15 ustawy z 22 maja 2003 r. o działalności ubezpieczeniowej (Dz.U. Nr 124, poz. 1151 z późn. zm.) oraz art. 13 ust. 1 ustawy z 22 maja 2003 r. o ubezpieczeniach obowiązkowych[…] (Dz.U. Nr 124, poz. 1152 z późn. zm.) ubezpieczyciel może wypłacić świadczenie między innymi na podstawie ugody zawartej z uprawnionym z umowy ubezpieczenia;
– na podstawie art. 3 ust. 1 ustawy z 26 lipca 1991 r. o podatku dochodowym od osób fizycznych (tekst jedn. Dz.U. z 2000r. Nr 14, poz. 176 z późn. zm.) osoby fizyczne, jeżeli mają miejsce zamieszkania na terytorium Rzeczypospolitej Polskiej, podlegają obowiązkowi podatkowemu od całości swoich dochodów (przychodów) bez względu na miejsce położenia źródeł przychodów (nieograniczony obowiązek podatkowy);
– artykuł 21 wyżej cytowanej ustawy wprowadza tzw. zwolnienia od nieograniczonego obowiązku podatkowego. Do rekompensaty szkód z czynów niedozwolonych przede wszystkim znajdą zastosowanie ust. 1 pkt 3 lit. g, pkt 3 b oraz pkt 3 c art. 21 cyt. ustawy podatkowej.
Ustawodawca po pierwsze, zwolnił z opodatkowania odszkodowania lub zadośćuczynienia, których wysokość lub zasady ustalania wynikają wprost z norm prawnych, za wyjątkiem odszkodowań wynikających z zawartych umów lub ugód innych niż ugody sądowe.
Po drugie, zwolnione spod opodatkowania są odszkodowania w postaci renty otrzymane na podstawie prawa cywilnego w razie uszkodzenia ciała lub wywołania rozstroju zdrowia, przez poszkodowanego – podatnika, który utracił całkowicie lub częściowo zdolność do pracy zarobkowej albo zwiększyły się jego potrzeby lub zmniejszyły widoki powodzenia na przyszłość. To zwolnienie obejmuje zatem renty wypłacane na podstawie art. 444 § 2 K.C.
W trzeciej kategorii interesujących nas zwolnień, tj. odszkodowań lub zadośćuczynień, w tym wypłacanych na podstawie wyroku lub ugody sądowej, ustawodawca wprowadził wyjątek, który nie uwzględnia w zwolnieniu rekompensaty za utracone wskutek szkody na osobie korzyści, jakie podatnik mógłby osiągnąć gdyby mu szkody nie wyrządzono (jak widać wypłacanie przez ubezpieczycieli odszkodowań tytułem utraconego wynagrodzenia w kwocie tzw. netto, tj.: z potrąceniem podatku dochodowego, jest całkowicie niezasadne).
3. Obowiązek podatkowy
Co zetem z podatkiem dochodowym, gdy na wykonanie przez ubezpieczyciela umowy ubezpieczenia odpowiedzialności cywilnej za szkody powstałe w związku posiadaniem pojazdów mechanicznych nałożymy powszechny obowiązek podatkowy?
Z przytoczonych powyżej norm prawnych bez wątpienia można wskazać, że odszkodowania obejmujące roszczenia utraconych dochodów lub korzyści, w związku ze szkodą na osobie z czynu niedozwolonego, nie zostały zwolnione spod opodatkowania i od otrzymanych kwot należy odprowadzić podatek dochodowy.
Z zadośćuczynieniem za doznaną krzywdę, o którym mowa w art. 445 § 1 K.C., przyznanym i wypłaconym na podstawie zawartej z uprawnionym umowy ugody sprawa nie jest prosta.
Rozpatrując zagadnienie konstytucyjności przepisu, na podstawie którego świadczenia uzyskane na zasadzie ugody sądowej nie były zwolnione od opodatkowania, problemu omawianego w artykule dotknął szczątkowo Trybunał Konstytucyjny.
W orzeczeniu z 29 listopada 2009r., (spr. SK 51/2006, opubl. OTK ZU 2006/10A, poz. 156) TK zwrócił uwagę na to, że cyt.: ”…gdyby wypadek skarżącego był rozstrzygany na tle obecnie obowiązujących przepisów, zachodziłaby wątpliwość, czy należne mu odszkodowanie z tytułu wypadku przy pracy jest objęte hipotezą pkt 3, czy też – pkt 3b. Od rozstrzygnięcia tej wątpliwości zależałaby ocena podatkowa odszkodowania uzyskanego na podstawie ugody sądowej (na podstawie pkt 3 – obowiązek podatkowy, na podstawie 3b – zwolnienie). Co więcej, wypada zauważyć, że w wypadku, gdy poszkodowany uzyskuje zarówno jednorazowe odszkodowanie, jak i rentę, co zdarza się w bardzo licznych wypadkach szkód na osobie, renta ustalona w ugodzie sądowej byłaby zwolniona od podatku (pkt 3c), zaś los jednorazowego odszkodowania, ustalonego tą samą ugodą, byłby wątpliwy (wytłuszczenie moje). Trybunał Konstytucyjny stwierdza, że istnienie tego rodzaju niejasności w regulacji podatkowej zasługuje na zdecydowanie krytyczną ocenę”.
Uzupełniając w minimalnym stopniu orzecznictwo o wyroki NSA i WSA należy wskazać sprawę z 7 września 2004 roku (niestety dwa lata przed wyrokiem TK). W uzasadnieniu do wyroku (sprawa FSK 361/2004, opubl. LexPolonica 371101) NSA wskazał, że „w świetle brzmienia art. 21 ust. 1 pkt 3 ustawy o podatku dochodowym od osób fizycznych źródłem powstania prawa do odszkodowania, które powodowało ustawowe zwolnienie go od podatku dochodowego od osób fizycznych, jest przepis ustawowy a nie czynność prawna, w szczególności zaś umowa”. W sprawie tej chodziło o wadliwe wykonanie umowy sprzedaży pracownikom akcji zakładu pracy, co sąd dostrzegł, na okoliczność braku ustawowej regulacji zasad i wysokości odszkodowania, co skutkowało obowiązkiem podatkowym.
Z kolei w sprawie 1 SA/G1 1114/2008 (opubl. LexPolonica 2046602) WSA w Gliwicach w wyroku z dnia 3 czerwca 2009r. podniósł, że „za odszkodowania, o których mowa w art. 21 ustawy, należy uznać takie, których źródłem jest przepis prawa niezależnie od tego, czy bezpośrednim tytułem wypłaty jest wyrok, ugoda sądowa, decyzja, czy też umowa. WSA nie zgodził się, że samo zawarcie ugody w rozumieniu art. 917 k.c., w której określono kwotę odszkodowania, wyklucza zastosowanie zwolnienia. W tym przypadku konieczne jest wcześniejsze stwierdzenie istnienia pozostałych przesłanek warunkujących to zwolnienie podatkowe[…] zdaniem WSA w pierwszym rzędzie organ powinien odnieść się do tego, czy kwota wynikająca z ugody sądowej stanowi odszkodowanie lub zadośćuczynienie, a następnie po pozytywnej odpowiedzi na to pytanie, czy wysokość lub zasady jej ustalenia wynikają wprost z przepisów odrębnych ustaw lub przepisów wykonawczych[…]”.
4. Podsumowanie
Za podstawowe argumenty w opisywanej sprawie uznać należy tezy Trybunału Konstytucyjnego. Trzeba także podkreślić, że w wyroku TK z dnia 29 listopada 2006r. (Dz.U. z 2006 r. Nr 226 poz. 1657) z dniem 11 grudnia 2006 r. za niezgodny z art. 2 i art. 32 Konstytucji RP został uznany tylko i wyłącznie art. 21 ust. 1 pkt 3 lit. g ustawy o podatku dochodowym od osób fizycznych w zakresie, w jakim wyłącza zwolnienie podatkowe w stosunku do odszkodowań uzyskanych na podstawie ugody sądowej. Owa niezgodność w żadnym wypadku nie dotyczy ugód zawartych poza salą sądową. Jak podniósł WSA w Poznaniu w wyroku z dnia 4 czerwca 2009 (sprawa I SA/Po 363/2009, opubl. LexPolonica 2090650), cyt.: „Sejm nowelizując ustawę o podatku dochodowym od osób fizycznych ustawą z dnia 25 kwietnia 2008 r. (Dz. U. 2008 r. Nr 97 poz. 623) i wykonując powyższy wyrok Trybunału Konstytucyjnego – postanowił jedynie zwolnić od opodatkowania otrzymane odszkodowania lub zadośćuczynienia, jeżeli ich wysokość lub zasady ustalania wynikają wprost z przepisów, ale tylko w przypadku ich określenia w ugodzie sądowej.”
Z powyższego wynika, że spokojny sen mogą mieć tylko poszkodowani, którzy dzięki zawartej ugodzie otrzymali odszkodowanie lub zadośćuczynienie przed 31 grudnia 2004 roku (w 2009r. minął w tych sprawach okres przedawnienia, który wynosi 5 lat od końca roku kalendarzowego, w którym powstał obowiązek zapłaty podatku).
W mojej ocenie przepisy w tej materii są niestety niekorzystne dla poszkodowanych. Ustawodawca zwolnił bowiem z opodatkowania kwoty wypłacone na podstawie przepisu prawa z wyjątkiem tych, które wynikają z innych niż sądowe ugód. Gdyby zatem wystarczyła podstawa ustawowa dla zwolnienia podatkowego zadośćuczynienia, zbędne byłoby wyłączenie spod tego obowiązku ugód i to, w dodatku wyłącznie zawartych przed sądem. Co więcej, gdyby odszkodowania lub zadośćuczynienia z OC za szkody na osobie miały być zwolnione z opodatkowania, zbędne również byłoby zwalnianie odszkodowań wyłącznie w postaci renty. Z przytoczonych norm wyraźnie widać, że ustawodawca rozróżnia odszkodowania w postaci renty od innych postaci, w tym zadośćuczynienia, a także materialno-prawną postać umowy ugody od jej procesowej odmiany.
Osobiście odradzałbym uleganiu namowom na zawieranie ugody z ubezpieczycielem. Rozwiązaniem w takiej sytuacji jest skarga do KNF albo Rzecznika Ubezpieczonych na wymuszanie zawarcia ugody (do wymuszenia zaliczyć należy także postawienie warunku wypłaty świadczenia po zawarciu ugody), albo wystąpienie do sądu z wnioskiem o wezwanie ubezpieczyciela do zawarcia ugody przed sądem. Trzeba mieć także nadzieję, że sprawę poruszy Rzecznik Ubezpieczonych i uzyska jasną interpretację Ministerstwa Finansów. Niezbędna jednak, zdaje się być zmiana ustawy o podatku dochodowym od osób fizycznych polegająca na rozszerzeniu katalogu zwolnień (art. 21 ustawy) o zadośćuczynienia za krzywdę, otrzymane z tytułu wyrządzonej szkody na osobie.
